Item 5.07Submission of Matters to a Vote of Security Holders.

On April 24, 2024, Calavo Growers, Inc. (the “Company”) held its annual meeting of shareholders. At the meeting, the holders of the Company’s outstanding common stock acted on the following matters:

(1)The shareholders elected the following eight directors, each to serve until the next annual meeting of shareholders or until his or her successor is elected. Shareholders were entitled to cumulate their votes for directors as described in the Company’s Proxy Statement filed with the Securities and Exchange Commission on February 28, 2024 (the “Proxy Statement”). Based upon the results of this shareholder advisory vote, the Board of Directors of the Company has determined to follow the shareholders’ recommendation and to include in future proxy statements an annual shareholder advisory vote on the compensation of the Company’s named executive officers until the next required vote on the frequency of shareholder advisory votes on executive compensation.
